Terms & Conditions
Wavespace Digital Agency LLC (“Wavespace”) provides digital design and development services to clients worldwide. These Terms & Conditions apply to all Wavespace services, including subscription plans (Standard, Pro, and Super Pack) and any custom or project-based engagements. By subscribing to a plan or engaging Wavespace for custom work, the client agrees to be bound by these Terms.
1. Payment Terms
Standard Plan: Wavespace offers the Standard Plan at $2,200 per month. This plan includes 40 hours of design time per month and is ideal for early-stage startups or lean teams needing focused support on one task at a time. The subscription is flexible and can be canceled anytime at the end of the billing cycle. Work is delivered sequentially, and unused hours may be used within the active billing period but are not carried over or refunded.
Pro Plan: For growing teams handling multiple tracks of work, the Pro Plan is available at $4,400 per month and includes 80 hours of design time. This plan allows for two requests at a time and covers branding, product design, and Webflow development. Like the Standard Plan, this option provides the flexibility of monthly billing and can be adjusted or canceled at the end of any billing cycle.
Super Pack: For larger teams or enterprises with ongoing, high-volume design and development needs, the Super Pack is offered as a custom solution. This plan includes a dedicated design team and unlimited task capacity, with pricing determined by scope or a tailored monthly subscription. It is ideal for clients looking for a full product design partner and long-term collaboration.
Billing Options:
- Monthly: Billed at the standard monthly rate per plan.
- Quarterly: Receive a 10% discount by choosing a quarterly subscription (billed every 3 months).
- Yearly: Get 2 months free with an annual commitment (12 months for the price of 10).
Currency: All prices are listed and billed in either U.S. Dollars (USD) or Euros (EUR), depending on the client’s location or preference.
2. Refund and Cancellation Policy
Clients may cancel their subscription at the end of the current billing period. There are no refunds for unused hours or prepaid months. Any unused hours remain available until the period ends. If a client stops paying, Wavespace will pause all work and access to ongoing work is lost. However, the client retains ownership of any deliverables completed before the last successful payment.
3. Intellectual Property
Clients retain full ownership of all completed deliverables (including design files, code, websites, and related assets) upon receipt of full payment. Clients have the right to use, edit, reproduce, and distribute these deliverables as needed for their business.
Wavespace retains ownership of any pre-existing intellectual property used during the project, such as internal tools, frameworks, design systems, templates, or code libraries. These proprietary assets are not transferred unless otherwise agreed in writing.
4. Data Use
The Client is responsible for providing all necessary data and materials required for Wavespace to deliver its services. This may include, but is not limited to, personal information such as name, email, contact details, billing information, project content, images, and any relevant assets or instructions. Wavespace collects and uses this information solely to manage accounts, process payments, communicate project updates, and improve the quality of our services.
While Wavespace takes reasonable steps to protect client data during the service process, we cannot be held liable for any data loss, corruption, or compromise. Clients are strongly encouraged to maintain their own backups of all submitted files and materials. In case of data issues, Wavespace will make commercially reasonable efforts to assist in recovery, but cannot guarantee full restoration.
5. Termination
We reserve the right to refuse service to any client at our discretion. If a client violates these Terms, we will issue a single warning before terminating the agreement. If payment is not received, all work will be immediately paused, and no further deliverables will be provided.
6. Prohibited Activities
Customers must use Wavespace services only for lawful and agreed-upon purposes. Any content delivered should align with the selected service scope and may not be resold, redistributed, or used for unauthorized commercial gain. Misuse includes copyright infringement, illegal activities, or violating third-party rights. Wavespace reserves the right to monitor usage, take legal action for violations, and suspend or terminate access without notice.
7. Showcasing Work
Wavespace reserves the right to display completed design work across its digital platforms, including portfolio and marketing channels, unless a Non-Disclosure Agreement (NDA) is in place to protect confidential or sensitive information.
8. Limitations of Liability
We’re committed to delivering high-quality work, meeting deadlines, and maintaining professional standards. However, liability is limited where applicable, and refunds are not provided. Clients are expected to share clear project requirements and ensure their requests align with the agreed scope of work.
9. Changes to Terms
Wavespace may update these Terms at any time. Any revisions will be posted on our website, and continued use of our services will indicate your acceptance of the updated Terms.
By using Wavespace’s services, clients acknowledge that they have read, understood, and agreed to these Terms.
